These Terms of Service (“Terms”) govern your access to and use of the services provided by Nella Labs (“Nella”, “we”, “our”, or “us”), including our website (getnella.dev), platform, CLI tools, MCP server, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
2. Accounts
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must provide accurate and complete information when creating an account and keep it up to date.
- You must notify us immediately at support@getnella.dev if you suspect unauthorized access to your account.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorized access to the Service or its related systems.
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to transmit malware, viruses, or any other harmful or destructive content.
- Resell, sublicense, or redistribute the Service without our written consent.
- Use automated means (bots, scrapers) to access the Service beyond its intended API interfaces.
4. Subscriptions and Payment
- Certain features of the Service require a paid subscription. Pricing and plan details are available on our website.
- Payments are processed securely by Lemon Squeezy. By subscribing, you agree to Lemon Squeezy’s Terms of Service.
- Subscriptions renew automatically. You may cancel at any time through your account settings or by contacting us.
- Refunds are handled on a case-by-case basis. Contact support@getnella.dev for refund requests.
5. Intellectual Property
- The Service, including its design, code, documentation, and branding, is owned by Nella Labs and protected by intellectual property laws.
- You retain ownership of your code and data. We do not claim any ownership rights over your content.
- You grant us a limited license to process your data as necessary to provide the Service.
6. Your Data
Our collection and use of your data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.
Code diffs and validation metadata processed by the Nella MCP server and CLI are handled transiently. We do not retain your source code beyond what is necessary to deliver results.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.
8. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nella does not warrant that the Service will detect all code issues or that validated code changes will be error-free. You are responsible for reviewing and testing code changes in your own environment.
9. Limitation of Liability
To the maximum extent permitted by law, Nella Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Service, regardless of the theory of liability.
Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Nella Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service or violation of these Terms.
11. Termination
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your access if you violate these Terms or engage in activity that harms the Service or other users.
- Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including liability limitations and indemnification) will remain in effect.
12. Changes to These Terms
We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
